1. Acceptance of Terms

By connecting your QuickBooks Online account to Clean Incentive's integration ("Service"), you agree to these Terms of Service. If you do not agree, do not use this Service.

2. Description of Service

This Service provides an integration between QuickBooks Online and Clean Incentive's internal operations platform (OpenClaw). The Service is designed for internal use by Clean Incentive, Inc. to facilitate accounting operations, financial reporting, and related business functions.

3. Authorized Use

This Service is authorized for use by:

• Clean Incentive, Inc. employees and authorized personnel
• Authorized agents and systems acting on behalf of Clean Incentive

You must have appropriate authorization to connect company QuickBooks accounts.

4. User Responsibilities

You agree to:

• Provide accurate information when connecting your account
• Maintain the security of your QuickBooks credentials
• Notify us promptly of any unauthorized access
• Use the Service only for legitimate business purposes

5. Data and Privacy

Our collection and use of data is governed by our Privacy Policy. By using this Service, you consent to our data practices as described therein.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLEAN INCENTIVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, REVENUE, OR PROFITS.

8. Indemnification

You agree to indemnify and hold harmless Clean Incentive, Inc., its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

9. Termination

Either party may terminate this agreement at any time. You may disconnect your QuickBooks account by following the instructions at Disconnect Instructions. Upon termination, we will cease accessing your QuickBooks data.

10. Changes to Terms

We may modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

11. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Harris County, Texas.
